Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, documentation, customer portal, and related pages operated by Prime UI, Inc. ("Prime UI", "we", "us") and any services we make available there (collectively, the "Site"). By accessing or using the Site, creating an account, or purchasing a license through the Site, you agree to these Terms.
Software License. If you purchase and use the Prime UI codebase and AI Builder to create a production website, your use of the software is governed by the Prime UI Software License Agreement (Per End Product) (the "Software License"). If these Terms conflict with the Software License for the product, the Software License controls for the product.

2. Eligibility; business use
The Site is intended for business and professional use. By using the Site, you represent that you have the legal authority to accept these Terms on behalf of yourself or your organization and that you are at least the age of majority in your jurisdiction.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may take actions we deem reasonably necessary to protect the Site and our users.
4. Purchases, billing, and refunds
Purchases made through the Site may be processed by third-party providers (for example, Stripe). Prices are shown before applicable taxes. Refunds and product-specific terms are governed by the Software License and the Order Form or checkout page presented at purchase. We reserve the right to modify pricing for future purchases.
5. Acceptable use
You agree not to, and not to allow third parties to:
- violate any law, third-party right, or these Terms;
- upload or transmit malware, illegal content, or content you do not have rights to share;
- attempt to probe, scan, or test the vulnerability of the Site;
- interfere with or disrupt the Site (for example, DDoS, excessive automated requests);
- scrape content except via documented public APIs or as permitted by robots.txt;
- misrepresent your identity or affiliation;
- use the Site for benchmarking or competitive research in a manner that violates applicable law or contractual duties;
- intentionally use the Licensed Software, Components, or Generated Output to train, fine-tune, or improve any artificial intelligence or machine learning model, except as expressly permitted by the Software License;
- use the Components to create or distribute a website builder, page builder, or similar product or service where Components are used as building blocks for assembling pages or websites;
- publish or distribute a substantial portion of the Components as a standalone library, repository, or package intended for reuse independent of an End Product.
AI Features. Outputs from AI features may be inaccurate or incomplete and are provided "as is". Always review before use. Ownership and license to Generated Output created with our software are governed by the Software License.
6. User content and feedback
If you submit content to us (for example, support tickets, emails, or comments), you grant Prime UI a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that submission solely to operate, support, secure, and improve the Site and Services. This license does not expand or override the handling of AI Builder Customer Content, which is processed as described in our Privacy Policy and the Software License.
If you provide feedback (ideas or suggestions), you grant us a perpetual, irrevocable license to use it without restriction or compensation. You remain responsible for the content you submit.
7. Intellectual property
The Site and its content (excluding your content and the Licensed Software governed by the Software License) are owned by Prime UI or our licensors and are protected by intellectual-property laws. All rights not expressly granted are reserved.
8. Third-party services and links
The Site may link to third-party websites or services. We are not responsible for their content or practices. Your use of third-party services is subject to their terms and privacy policies.
9. DMCA / copyright complaints
If you believe content on the Site infringes your copyright, send a notice to help@primeui.com with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that your notice is accurate and you are authorized; and (f) your signature. We may remove content at our discretion and, where appropriate, terminate repeat infringers.
10. Privacy and cookies
Your use of the Site is subject to our Privacy Policy, which explains how we collect and use personal data.
11. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME UI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED USD $100.
Product use: Liability related to the Licensed Software is governed by the Software License.
13. Indemnification
You agree to defend, indemnify, and hold harmless Prime UI and our officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your infringement of any third-party right.
14. Export and sanctions
You may not use the Site in violation of U.S. export control or sanctions laws, or in countries or with persons embargoed or blocked under such laws.
15. Changes to the Site or Terms
We may update the Site and these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last updated" date, and in some cases by email or in-product notice. Continued use of the Site after changes constitutes acceptance of the updated Terms.
16. Termination
We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms or pose a risk to the Site or other users. You may stop using the Site at any time. Sections that by their nature should survive termination shall survive.
17. Governing law; venue
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New Castle County, Delaware.
18. Order of precedence
For product purchases, the Software License and any Order Form govern. If there is a conflict between these Terms and the Software License for the Licensed Software, the Software License controls.
19. Miscellaneous
These Terms are the entire agreement between you and Prime UI regarding the Site. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in force. No waiver is effective unless in writing. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
